Welcome to Dash/Out!

To ensure you have the best experience using our mobile application, this document represents the legal agreement between you, as a user, and Dash/Out (operated by TOKEN LAB SRL).

Your use of the Dash/Out mobile application (“Application”) constitutes your unconditional and full acceptance of this document. Please read these Terms carefully before using the Application, and contact us at office@dash-out.com if you have any questions about its content or effects.

  1. What is Dash/Out?

1.1. The legal entity

Dash/Out is a mobile application (Android & iOS) owned and operated by TOKEN LAB SRL, a limited liability company organized under the laws of Romania, registered with the Trade Registry under no. J12/2630/04.06.2024, CUI 50179876, IBAN RO84BTRLRONCRT0CS5616901 (Banca Transilvania), having its registered office at Sat Floreşti, Comuna Floreşti, Strada Traian, Nr. 01, Bloc A, Scara B, Etaj 7, Ap. 29, Județ Cluj, Romania.

  1. What does it mean?

2.1. Meaning of some terms

To make this document easy to read, below are key terms used throughout:

  • Dash/Out Application / Application – the mobile software owned and developed by TOKEN LAB SRL through which we provide you with free personalized suggestions of places and activities across Romania and social/discovery features.
  • User (“you”) – any natural person aged 14+ who installs/uses the Application and/or creates an account.
  • Account – your section in the Application (profile, preferences, favorites, saved items, calendar, “Going” commitments, notifications).
  • Content – any elements published in the Application, including but not limited to: logo, images, photos, video, names, descriptions and information about venues/activities, editorial texts, lists, maps, statistics, and any user-generated content (e.g., reviews, comments) where available.
  • Suggestion(s) – non-binding recommendations generated by the Application (e.g., dining, cocktail bars, hobbies, sports, culture, events, parks, cycling routes, hiking, karting, skydiving, wine tasting, and other services available in any city/area).
  • Provider – any third-party venue, organizer, or service provider whose details may be displayed in the Application (we do not own, operate, or control their services).
  • Favorites – the section of your Account that allows you to save places/activities to review later.
  • “Going” – a feature allowing you to add a suggested place/activity to your in-app calendar and commit to attending; with your consent, reminders/notifications may be sent.
  • Location Data – geolocation information from your device (e.g., GPS, Wi-Fi, cellular, Bluetooth) used, with your explicit consent, to deliver relevant real-time suggestions.
  • Itinerary Planner / Groups / Bookings – potential future features that may be introduced (e.g., planning day-by-day itineraries, dedicated groups for restaurants/sports/hobbies/events, or making bookings directly). These are not guaranteed and may be added, changed, or removed over time.
  • Unauthorized interventions – actions by which you introduce malware, attempt to access or modify the Application or its Content without authorization, or otherwise disrupt its operation.

Important: Dash/Out is not a marketplace, does not sell tickets, and does not process payments. Any purchases/reservations you choose to make are with third-party Providers, outside our Application.

  1. How can you use the Application?

3.1. Reading and accepting the Terms and Conditions

Before using the Application, please read these Terms carefully. By installing or using the Application, you accept them in full.

3.2. Purpose of use

You may access/use the Application to discover and view Content and Suggestions about places and activities and to use social/discovery features (e.g., Favorites, “Going”, calendar integration, viewing Provider details and exact locations, and—when available in the future—Itinerary Planner, Groups, and Bookings).

3.3. Unauthorized interventions. Rules of conduct

3.3.1. Do not post/send texts or comments that include unlawful, hateful, defamatory, obscene, or harassing content, or that could harm the image of Dash/Out, Providers, or other Users.
3.3.2. Refrain from any Unauthorized interventions in the Application or our infrastructure. Such actions may attract civil/criminal liability.
3.3.3. Do not use the Application for spamming, mass-messaging, scraping, or collecting personal data without a lawful basis and consent.
3.3.4. Creating multiple accounts to manipulate features, ratings, or platform integrity is prohibited.
3.3.5. Real-world activities. Suggestions are informational. If you mark “Going” and do not attend, or you dislike an activity you chose to attend, this is outside Dash/Out’s control (we do not sell or refund anything). If a Provider cancels or changes an activity, you must address this directly with that Provider.

3.3.6. The Application is generally available at any time; however, if your conduct harms or may harm the community, we may take the measures in Section 8.

3.4. Interruptions

We take reasonable measures to ensure availability. However, we cannot guarantee continuous, error-free operation. Temporary interruptions may occur.

3.5. Modification of Terms and Conditions

We may modify these Terms from time to time. The current version will be shown in the Application. Continued use after changes constitutes acceptance.

  1. Your Account and Features

4.1. Creating an account

4.1.1. An account lets you save Favorites, manage profile preferences, add activities to your in-app calendar and mark “Going,” (and in the future) join Groups, create itineraries, and interact socially. Typical steps:

  • Download from the App Store or Google Play.
  • Open the Application, read and accept these Terms.
  • Provide the requested information (e.g., phone/email, verification code, name, date of birth) accurately.
  • Manage your password and profile in Edit Profile.

4.1.2. Your options

  • Notifications. With your consent, the Application may notify you when you mark “Going,” when reminders approach, when relevant nearby Suggestions appear, or when Groups/Bookings (future) update.
  • Geolocation. If you allow location access (including background), the Application will generate highly relevant Suggestions wherever you move across the country.
  • Calendar & “Going.” You can add items to your in-app calendar, mark “Going,” and receive reminders with your consent.
  • Provider details & map. View exact locations and available Provider details to help you navigate there.

4.2. Search & discovery

You can explore Suggestions by keywords, categories (dining/nightlife, sports/hobbies, culture/entertainment, outdoor/leisure, events), location, or other filters we may offer.

Note: Prices, availability, and characteristics shown in third-party materials may change without notice. Always verify with the Provider directly.

4.3. Bookings (future)

If/when in-app booking becomes available, any contract for services will be concluded directly between you and the Provider. Dash/Out will not be a party to such contracts and will not process your payments.

  1. Reviews and user-generated content

5.1. Your opinion

Where reviews/comments/photos are available, you remain the owner of your content.

5.2. Our right to use your content

By publishing content in the Application, you give TOKEN LAB SRL a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, translate, distribute, and display such content to operate, maintain, and improve the Application (including previews in listings, search, and notifications).

5.3. Limits of our right

We will not use your content outside the purposes above. You may request deletion in line with our policies and applicable law.

5.4. Moderation

We may moderate and display your content if it follows these rules and our community guidelines. Content may be associated with your Account name.

5.5. Retention

Your content may be kept until you delete it, withdraw consent (where applicable), or your Account is deactivated, subject to legal retention requirements.

5.6. Rules for publishing content

  • Refer to your personal experience and real, accurate information.
  • Respect others’ rights (copyright, trademarks, licenses, image/publicity, privacy).
  • Do not request or disclose others’ personal data without their consent.
  • Do not post advertising/spam or malicious content.

5.7. Notifications (reports)

Users or Providers who believe certain content violates rights may notify us at office@dash-out.com with sufficient details (links, screenshots, rights allegedly infringed).

5.8. Remedies

After review, Dash/Out may keep or remove the content at its discretion.

5.9. Sanctions

We may sanction violations under Section 8 (e.g., content removal, feature limits, suspension).

  1. What obligations do you have regarding intellectual property rights?

6.1. Notion

Intellectual property rights include all patrimonial and moral rights over works and creations.

6.2. Our intellectual property rights

We own all intellectual property rights in the Dash/Out platform, concept and look-and-feel.

6.3. Your responsibility

You must respect the IP rights described above. Violations may result in account deletion and liability under applicable civil/criminal law.

  1. What are the situations, limitations and conditions of liability?

7.1. Suggestions and third-party services

Dash/Out provides Suggestions only and does not operate the listed places/activities. We are not responsible for Providers’ presentation, availability, specifications, safety/health policies, pricing, discounts, timing, or performance. Verify details directly with Providers before you attend.

7.2. Damage to equipment or links

We take reasonable steps for secure access but cannot guarantee the security or availability of external links, third-party materials, or your device. We are not liable for damages caused by errors, interruptions, viruses, connectivity failures, theft, destruction, or unauthorized access affecting your equipment.

7.3. Your liability

You are responsible for: (i) compliance with these Terms and applicable law; (ii) accuracy of data you provide; (iii) your choices to attend real-world activities and your personal safety.

7.4. Our liability

Because the Application is completely free for Users, to the maximum extent permitted by law, our total liability for any claim related to the Application shall not exceed €50 (or the minimum mandatory amount under applicable law). We are not liable for indirect, incidental, or consequential damages (e.g., lost opportunities, data, profits) or for injuries or losses arising from your interactions with Providers. Nothing herein excludes liability that cannot be excluded by law (e.g., fraud, willful misconduct, or death/personal injury caused by negligence).

  1. Violations, notifications, and measures

8.1. Violations

You violate these Terms when your actions harm or may harm the Dash/Out community (us, Providers, or other Users), including any of the situations in 3.3.

8.2. Notification of infringement

Any community member may notify us in writing (email) about a potential violation at office@dash-out.com. We may also act ex officio when we directly detect possible violations.

8.3. Right of reply

We may inform you in writing about the complaint and request clarifications within 10 calendar days. We reserve the right to provisionally suspend your account/activity until resolution.

8.4. Measures and remedies

Depending on the severity of the violation, we may:

  • Suspend access to the Application for a defined period; and/or
  • Delete your Account and permanently block access.

8.5. Application of measures

We will provide reasons for the measure taken. We may act before the reply period in 8.3 when:

  • The law requires immediate action; or
  • This is your second violation of a similar nature, warranting provisional action until final resolution.
  1. What is the jurisdiction and applicable law?

9.1. Applicable law

These Terms and their effects are governed by the laws of Romania.

9.2. Jurisdiction

Any dispute regarding the interpretation or application of these Terms that cannot be resolved amicably will be settled by the competent courts in Cluj-Napoca, Romania, unless mandatory law provides otherwise.

10.1. Notices

For any concerns, questions, complaints, or notices regarding the Application or these Terms, contact us at: office@dash-out.com.

10.2. Complaints

Regarding real-world activities and your relationship with Providers, please contact the Provider directly. You may also report issues via in-app reporting tools (when available) or by email.

10.3. Force majeure

Due to force majeure events, the Application may not function or may function differently. We will take reasonable steps to avoid or limit any losses caused by such interruptions; however, we are not responsible for damages arising from events beyond our reasonable control.
